H&M and Naturwissenschaftlich-Technische Akademie Isny prevail in Court of Appeal Stuttgart in shareholders‘ conflict
The shareholders‘ conflict at Naturwissenschaftlich-Technischen Akademie Isny (nta) with a minority shareholder is decided.
The minority shareholder, a former president of the college and managing director of the management company, had impertinently criticized nta in the public and vis-à-vis controlling institutions and published confidential internal matters after his withdrawal as managing director. Hereupon, the shareholders’ meeting resolved the redemption of his share.
The legal challenge against this resolution of redemption of shares has been successful in first instance before the District Court of Ravensburg. H&M took over the representation of nta and argued that a warning letter which had been missed by the District Court Ravensburg is not required. The Court of Appeal Stuttgart followed this argumentation and ruled that the redemption was effective.
