On 1 June 2017, VfB Stuttgart 1893 e.V. held an extraordinary general meeting. Subject matter was the desire of the association’s management to spin off the division professional soccer to a stock corporation. Daimler AG had already confirmed in advance that it will acquire 11,75% of this stock corporation for an amount of approx. € 41 million. More than 14.000 members followed the call for the general meeting which was one of the biggest general meetings of all times. Finally, 84,2% oft he members approved to the spin-off and, therefore, prepared the basis for a sporty and economically successful future of VfB.

Haver & Mailänder has been advising VfB for many years on the general meeting as well as on several other legal questions. Considering the high number of participants, the legal and organisational preparation was specifically intensive this time. In the end, even an extensive petition filed in the meeting for the first time could not impress the members and they voted for the spin-off as well as the amendment of the association’s articles of association with far more than 80%.
