Corporate law & transactions

Entrepreneurial activity is organised in corporate structures. The corporate law practised by our firm's lawyers with their high level of national and international expertise is one of our specialisations. Legal knowledge alone does not suffice here, but has to be accompanied by knowledge of economics and accounting and, in the case of partnerships and family companies, by empathy engendered by in-depth experience. We have this special knowledge and experience at our disposal. The services we offer encompass the entire range of advice on corporate law and the taxation of enterprises, starting with the formation of new companies and corporate reorganisation right through to mergers and split offs, company takeovers and transactions off all kinds, which we advise on competently during all the execution phases on the basis of our experience and knowledge: Share and asset deals, management and leveraged buy-outs, joint ventures, private equity and venture capital operations and initial public offerings. We are present all the stages of the transaction: we plan and structure, negotiate and draft the respective contracts. And at due diligence, closing and in the post-closing phase, our clients can count on us too of course.

Antitrust law

The acknowledged strengths of HAVER & MAILÄNDER include national and European antitrust law, with several antitrust specialists working in our firm. We assist enterprises in particular on merger control and filing registrations with the German Federal Cartel Office and the European Commission. In cases where mergers have to be registered in several countries, we assume responsibility for coordinating the so-called multiple jurisdiction filings. Whilst we represent our clients in proceedings on fines before the antitrust authorities and antitrust courts, we naturally also advise our clients in advance, aiming to preempt antitrust violations and the respective fines. On our clients' behalf we investigate the various facets of abusive behaviour repeatedly displayed by companies with market dominance.

EU state aid and public procurement law

We also have particular expertise in the law relating to EU state aid control, for instance advising banks and counselling on infrastructure projects. Both contracting authorities and bidders alike appreciate our know how of the public procurement law applying to public contractors and public services contractors during all stages of the tendering and at examination proceedings before German and European control bodies.

Conducting litigation & arbitration

Law is not realized until it is enforced. This must already be taken into account when conceiving operations. A commercial law specialist only acting in an advisory capacity cannot appreciate the perils of litigation. We set high store by all of our attorneys' acquiring qualified experience of law suits. We conduct judicial proceedings after fastidious preparation and uncompromising clarification of the facts and circumstances, as we know that the precondition for success at court is a thorough discovery of the facts.

International peculiarities are taken into consideration. Disputes requiring confidentiality, for instance with regard to complex commercial contracts in the English language, are hardly litigable at state courts. International arbitration is therefore becoming increasingly important. We have very experienced lawyers who specialise in arbitration: Attorneys who have often acted successfully as representatives of renowned industrial enterprises and banks with large amounts in dispute and have frequently also acted as arbitratiors at major arbitral proceedings. The outstanding competence of our specialists on arbitration is internationally recognized.
